1. PARKING LOT will make #of spaces available for Book2Park.com to sell on their internet site.
2. Spaces will be sold on a daily, weekly of loner basis at market rates that fluctuate with the local market and are agreed upon by both parties.
3. Revenues will be shared on the following terms. Book2Park shall receive as their compensation 20% of the total base rate, to be paid at the time of each booking on Book2Park.com and PARKING LOT shall receive as their compensation 80% of the total base rate plus any taxes or fees that they charge for to be paid on a monthly basis. Checks are cut on the 2 nd of the month and should be received no later than the 8 th of the month.
4. All expenses related to Internet website advertising and management will be incurred by Book2Park.com.
5. PARKING LOT will notify Book2Park.com of any "black out periods", times when these spaces may not be available due to unusual circumstances 7 days in advance. PARKING LOT will notify Book2Park.com when parking demand is lower than normal and Book2Park.com may use more than the scheduled parking spaces which can be updated via the PARKING LOT Book2park account. PARKING LOT still must honor any existing reservations made prior to the unusual circumstances.
6. Term of the agreement will be one year, effective START DATE and STARTDATE + 1YR. Either party can terminate above agreement for any reason with a 30 day written notice. This agreement shall be renewable at the end of the current term for a successive one-year term unless either party gives written notice of its intention not to renew 30 days before expiration of the current term. This Agreement will continue to renew at the end of each 12 months period until cancelled by either party. Partner will agree to honor any reservation that was made PRIOR to cancellation request unless they are unable to do so as a result of circumstances beyond their control.

8. Book2Park assumes no liability for the vehicles while parked on PARKING LOT premises PARKING LOT indemnifies and holds harmless Book2Park from and against any and all claims, damages, liabilities, costs, and expenses arising out of any act or omission of PARKING LOT. In addition, Book2park indemnifies and holds harmless PARKING LOT from and against any and all claims, damages, liabilities, costs, and expenses arising out of any act or omission of Book2park.com.

1. PARKING LOT will make an agreed number of parking spaces available for Book2Park to sell on their website.
2. Spaces will be sold on a daily, weekly or longer basis at market rates that fluctuate with the local market and are agreed upon by both parties.
3. Revenues will be shared on the following terms. Book2Park shall receive as their compensation their transaction fee plus 1 Day of parking to be prepaid by the customer at the time of each booking on Book2Park.com and PARKING LOT shall receive as their compensation all the remaining balance of the days plus any parking fees and taxes to be paid by the customer at the lot on the day they come drop off their car.
